คู่สัญญาตกลงร่วมกันทำสัญญาร่วมค้า (Consortium Agreement) ดังมีข้อความต่อไปนี้

1. ชื่อและที่อยู่ของสำนักงาน

2. วัตถุประสงค์
ก. คู่สัญญาร่วมกันจัดตั้งกิจการร่วมค้า เพื่อยื่นซองประกวดราคา................................. ........................................................................................ (ซึ่งต่อไปในสัญญานี้จะเรียกว่า “โครงการ”)
ข. คู่สัญญาจะเข้าร่วมประกวดราคา และลงนามสัญญาเป็นผู้รับจ้างของกรมชลประทาน
(ซึ่งต่อไปในสัญญานี้จะเรียกว่า “เจ้าของงาน”) หากกิจการร่วมค้าเป็นผู้ชนะการประกวดราคางาน “โครงการ” และดำเนินการก่อสร้าง “โครงการ” ตามเงื่อนไขที่กำหนดไว้ในสัญญาและบันทึกแก้ไขเพิ่มเติมหนังสือสัญญากิจการร่วมค้าฉบับนี้ที่อาจมีขึ้นภายหลัง

3. การบริหารงานกิจการค้าร่วม (Consortium)

3.2 คณะกรรมการบริหารและการควบคุมกิจการค้าร่วม (Consortium) จะประกอบด้วยบุคลากรที่แต่งตั้งโดยคู่สัญญาแต่ละฝ่ายๆ ละ 1 คน โดย
3.2.1 คำตัดสินของคณะกรรมการบริหารและการควบคุมจะต้องมีมติเป็นเอกฉัน ทั้งนี้ โดยถือหลักถ้อยทีถ้อยอาศัยกันเพื่อประโยชน์สูงสูดของกิจการค้าร่วม (Consortium)
3.2.2 การประชุมของคณะกรรมการบริหารและการควบคุมจะมีขึ้นตามความจำเป็นของงานโครงการ เวลา และสถานที่ ประชุมสำหรับคณะกรรมการบริหารและการควบคุมนั้น คู่สัญญาฝ่ายหนึ่งฝ่ายใดอาจจะเป็นผู้กำหนด โดยแจ้งให้ทราบล่วงหน้าไม่น้อยกว่า 1 สัปดาห์ มติการประชุมและรายงานการประชุมของคณะกรรมการบริหารและการควบคุม จะต้องบันทึกเป็นลายลักษณ์อักษรและส่งให้คู่สัญญาหมดโดยไม่ชักช้า
3.3 เอกสารการรับเงิน การออกเอกสารรับเงิน เช่น ใบเสร็จรับเงิน ใบกำกับภาษี บริษัทหรือห้างหุ้นส่วนจำกัดในกลุ่มกิจการค้าร่วม (Consortium) แต่ละรายจะต้องออกเอกสารการรับเงินให้แก่กรมชลประทานตามส่วนงาน และจำนวนที่ได้รับ โดยออกเอกสารรับเงินในนามของตนเอง
3.4 การเสียภาษี การดำเนินการตามสัญญากิจการค้าร่วม (Consortium) ไม่ถือเป็นหน่วยภาษี ดังนั้น บริษัท/ห้างในกลุ่มกิจการค้าร่วม (Consortium) จะต้องต่างฝ่ายต่างเสียภาษีเงินได้ และถูกหักภาษีเงินได้ ณ ที่จ่าย ตามส่วนงาน และจำนวนที่ได้รับในนามของตนเท่านั้น

4. หน้าที่และความรับผิดชอบของคู่สัญญา
คู่สัญญาตกลงจะแบ่งปันกำไรและขาดทุนของงานตามอัตราการลงทุนของคู่สัญญาแต่ละฝ่ายดังต่อไปนี้
